Danaher Corp. And Sybron Dental Specialties Inc. Agreed to Settle Class Action Lawsuit
Sybron Dental Specialties Inc. (SYD.N: Quote, Profile, Research) and industrial tool maker Danaher Corp. (DHR.N: Quote, Profile, Research) have agreed to settle a California class action lawsuit related to their $2 billion merger.
The allegations against Danaher, Sybron and Sybron’s directors related to Danaher’s tender offer to buy Sybron shares at $47 each.
As part of the settlement, the companies will reduce to $45 million the termination fee in case the merger falls apart.
The tender offer is set to expire on May 15. On Wednesday, Danaher said the merger received U.S. antitrust approval.
